Should you form in Wyoming?

Genuinely cheap and genuinely private if you actually live in Wyoming. If you do not, the "Wyoming LLC" that is marketed so heavily online is usually a way to pay Wyoming's fees on top of your own state's, not instead of them.

What the comparison tables miss

The $60 is a minimum, not a flat fee

Wyoming's annual license tax is the greater of $60 or $0.0002 per dollar of assets located and employed in Wyoming. Any LLC with $300,000 or less in Wyoming assets pays the $60 minimum, which covers almost every freelancer and small operator. Above that it scales — a detail routinely omitted from "Wyoming is $60 a year" comparisons.

Your deadline is your anniversary month, not a fixed date

Most states pick one day and apply it to everyone. Wyoming ties the deadline to when you formed, so there is no shared date to remember and no general reminder in circulation. This is a common way people quietly fall out of good standing.

Sixty days late means dissolved, not fined

Wyoming does not run up escalating penalties the way Delaware or Florida do. It dissolves the company. That is cheaper if you catch it and much worse if you do not, because a dissolved LLC has no liability shield during the period it was dissolved.

Online filing adds a card fee

Paying online adds 2.4% of the tax due, minimum $1 — so the $60 minimum is really about $61.44. Trivial in isolation, but it is why the number on your card statement never quite matches the number in the comparison tables.

The privacy Wyoming is sold on is narrower than the marketing

Wyoming does not list members or managers in the public formation record, which is genuine and is the basis of an entire industry of "anonymous Wyoming LLC" offerings. But the registered agent is public, the annual report carries a signature, any bank will require full beneficial-ownership disclosure before opening an account, and federal beneficial-ownership reporting applies regardless of which state you filed in. Wyoming buys you privacy from casual public searches. It does not buy you privacy from anyone with a legal reason to look, and it is worth being clear about which of those you were actually paying for.

An LLC does not reduce your federal tax

Worth restating on every one of these pages, because so much of the marketing implies otherwise. A single-member LLC is a disregarded entity federally: the same Schedule C, the same self-employment tax, an identical return to being a sole proprietor. What it buys is liability protection, which may well be worth the fees — but that is a different thing from a tax saving.
